O financiamento societário é realizado, cada vez mais, com recurso a crédito bancário, sendo frequente que, com vista à tutela da posição do credor financiador, este imponha mecanismos de tutela do seu crédito.
Neste âmbito, tem-se generalizado a celebração de contrato de financiamento bancário por sociedades comerciais com recurso a soluções como a constituição de garantias, a outorga de procurações irrevogáveis e a utilização de mecanismos contratuais como as declarações e garantias e os covenants.
Estas soluções contratuais permitem ao banco, em determinadas circunstâncias, assumir uma posição de controlo em relação à sociedade-devedora, comportando-se como um verdadeiro insider. Daqui decorrem questões relativas aos limites às soluções de controlo estabelecidas em benefício do credor controlador e à eventual suscetibilidade de responsabilização do mesmo pela intervenção abusiva.
Corporate financing is increasingly carried out using bank financing and it is common for the bank creditor to impose mechanisms that aim to protect its credit. In this context, it has become widespread for companies to enter into financing agreements using solutions such as the granting of security interests, the granting of irrevocable powers of attorney and the use of contractual mechanisms such as representations and warranties and covenants. These contractual solutions allow the bank, under certain circumstances, to assume a position of control over the debtor-company, behaving like a true insider. This raises questions regarding the limits of the control solutions established in favour of the controlling lender and the possible liability of the latter for abusive intervention
