Abstract(s)
A presente dissertação trata a responsabilidade dos administradores de instituições de crédito perante o cliente (investidor), compreendida através da densificação dos deveres a que estão sujeitos e da sua eventual relevância em sede de responsabilidade aquiliana, a partir de um caso hipotético.
A investigação aqui levada a cabo sobre o quadro normativo aplicável, parte da composição analítica dos deveres que integram a situação jurídica dos administradores de instituição de crédito determinando a sua relevância em sede de ilicitude fundamentadora de responsabilidade civil.
Neste sentido, inclui uma análise dos deveres que compõem a situação jurídica dos administradores, do regime de responsabilidade civil aplicável de iure condito e, por fim, uma breve nota acerca do regime de responsabilidade civil a aplicar de iure condendo.
This dissertation provides a thorought analysys the liability of credit institutions directors towards clients (investors). It presents a comprehensive examn«ination of their regulatory duties and the potential for aquilian liability, using a hypothetical case for illustration. The study delves into the complex legal framework governing civil liability of directors civil and the duties of such directors, scrutinizing if, when breached, could result in civil liability due to unlawful conduct. Central to the thesis is the examination of the directors' legal duties, assessing their impact on the safeguarding of investor interests and the integrity of the financial sector. This analysis is twofold: it evaluates the current civil liability regime (de iure condito),and offers a forward-looking perspective on potential legal reforms (de iure condendo) to address and mitigate directors' misconduct. Through this methodological approach, the dissertation aims to elucidate the complex interplay between directors' regulatory duties and their enforcement (if any), contributing to the broader discourse on bank governance and financial regulation.
