A figura do sócio dominante no direito societário moçambicano é definida e regulada, expressamente, no artigo 125 do CCM, que estabelece o regime de responsabilidade daquele decorrente do exercício ilícito (e abusivo) do poder de domínio prejudicial à sociedade ou outros sócios.
Os objetivos por nós visados são dois. Contribuir para a doutrina societária moçambicana, no geral, e em especial, para o esclarecimento do regime jurídico de responsabilidade do sócio dominante e, em consequência, ajudar para a resolução de questões que possam ser suscitadas em torno da figura e da responsabilidade do sócio dominante.
Recai a nossa análise aprofundada sobre a norma específica aplicável à responsabilidade do sócio dominante, bem como às regras gerais, do direito comercial comum, aplicáveis à responsabilidade do sócio.
O artigo 125 é a principal base legal da responsabilidade do sócio dominante por violação dos deveres impostos ao sócio, de lealdade, e do princípio de igualdade de tratamento a todos sócios, mas também por violação do interesse da sociedade (e indiretamente, dos credores sociais) ou de outros sócios, de que resultem prejuízos a estes A responsabilidade civil do sócio dominante no direito societário moçambicano assenta em dois pilares: no artigo 125 pelo exercício ilícito do poder de domínio, em culpa in eligendo e culpa in instruendo; no artigo 87 pela utilização e instrumentalização da personalidade jurídica da sociedade.
The concept of dominant business partner in mozanbican corporate law is explicitly defined and regulated by article 125 of CCM, which establishes the liability regime arising from the ilicit and abusive use of power that can be harmful to the corporation itself or its other partners. We envision two main goals: to contribute to the mozanbican corporate doctrine, particularly for clarification of the dominant business partner's legal regime and consequently, to help resolving issues that may raise from the concept and liability of the dominant partner. Our detailed analysis is based on the specific rule applicable to the dominant business partner's liability, as well as general rules of common commercial law applicable to the partner's liability. Article 125 is the main legal basis of the dominant business partner's liability for violation of duties imposed on every partner (loyalty and principle of equal treatment for all partners), but also for violation of the corporation's interests (and indirectly of social creditors) and other partners, that may result in damage to them. In mozanbican corporate law, the dominant business partner’s civil liability rests on two main cornerstones: article 125 for illicit practice of the domain power - culpa in eligendo and culpa in insttruendo; and article 87 for use and instrumentalization of the company's legal personality.
