Este estudo aborda os requisitos e as definições legais tratados no Regulamento dos Mercados de Criptoativos da União Europeia (EU 2023/1114) – conhecido como MiCA (Markets in Crypto-Assets Regulation), com um foco particular na importância dos prestadores de serviços de criptoativos no contexto da aplicação da responsabilidade civil.
Desde os conceitos dos prestadores de serviços, da definição dos serviços abrangidos pelo legislador europeu, com uma breve análise dos requisitos de autorização do exercício da atividade no espaço comunitário europeu, além de destacar os deveres legais e contratuais da responsabilidade civil no regime da
MiCA, trabalhamos no enfrentamento por semelhança desde assunto em paralelo com que se aplica a legislação ao Mercado de Valores Mobiliários de Portugal. O texto questiona a aplicação da responsabilidade civil diante da ausência de normas regulatórias próprias e objetiva da MiCA, expondo na medida do possível
as lacunas do Regulamento, ao passo que propõe o uso análogo do Código de Valores Mobiliários conjugado com as regras gerais do Código Civil português.
O objetivo é esclarecer a responsabilidade dos prestadores de serviços de criptoativos e os desafios enfrentados pelos atores no mercado de criptomoedas, contribuindo para um melhor entendimento para a segurança jurídica e eficiência do mercado, através da interpretação conjugada do sistema de normas jurídicas de nosso país.
This study addresses the legal requirements and definitions outlined in the European Union's Regulation on Markets in Crypto-Assets (EU 2023/1114) – known as MiCA (Markets in Crypto-Assets Regulation), with a particular focus on the significance of crypto-asset service providers in the context of civil liability enforcement. We explore the concepts related to service providers, the definition of services covered by the European legislator, and briefly analyze the authorization requirements for conducting such activities within the European community. Additionally, we highlight the legal and contractual duties concerning civil liability under the MiCA framework, drawing parallels with the regulations applicable to the Securities Market in Portugal. The text questions the application of civil liability in the absence of specific and objective regulatory norms under MiCA, exposing, as far as possible, the gaps in the Regulation, while proposing the analogous use of the Securities Code in conjunction with the general rules of the Portuguese Civil Code. The aim is to clarify the responsibility of crypto-asset service providers and the challenges faced by market participants in the cryptocurrency sector, contributing to a better understanding of legal certainty and market efficiency through the combined interpretation of our country's legal framework.
