A responsabilidade civil dos gerentes e administradores por violação de normas de proteção é consagrada na ordem jurídica portuguesa desde a entrada em vigor do Decreto-Lei n. 49381, de 15 de Novembro, mais concretamente no número 1, do artigo 23.° deste diploma, estando actualmente prevista no número 1, do artigo 78.° do Código das Sociedades comerciais, tendo uma grande relevância do tráfego jurídico. Em determinadas situações o credor social goza de um concurso de pretensões indemnizatórias (responsabilidade delitual e responsabilidade obrigacional) perante os gerentes e administradores. A jurisprudência dos tribunais superiores portugueses tem discutido a matéria da responsabilidade civil dos gerentes e administradores
The civil liability ofDirectors ofCommercial Companies by breach of protection standards is foreseen in the Portuguese legal system since the entry into force ofDecree-Law no 49381 of 15 November, in particularin the no 1 ofarticle 23.° of said Decree, being currently foreseen in number 1 of article 78.° of the Portuguese Companies Code, having a huge relevance in legal matters. In certain circumstances, the company’s creditor enjoys from a competition of indemnity claims (tort liability and liability by breach ofcontract) before the Company Directors.
