A presente dissertação aborda o tema dos acordos parassociais celebrados pelos sócios das empresas públicas que assume a forma jurídica de sociedade comercial. Estes instrumentos jurídicos, típicos do Direito Privado são utilizados pelos sócios das empresas públicas para regular o exercício dos direitos inerentes à participação social.
A determinação do regime jurídico aplicável aos acordos parassociais das empresas públicas apela à discussão da temática da aplicação do Direito Privado pelas entidades públicas. As empresas públicas como entidades públicas, estão sempre sujeitas a um conjunto de vinculações jurídicas de Direito Público, mesmo recorrendo às formas jurídicas típicas do Direito Privado. Estas vinculações jurídicas, em especial o princípio da prossecução do interesse público, moldam o regime jurídico dos instrumentos de Direito Privado utilizados pelas entidades públicas.
Os Acordos parassociais relativos às empresas públicas são instrumentos do Direito Privado, celebrados pelos sócios destas. Tendo como objeto a regulação dos direitos inerentes à detenção de uma participação social de uma empresa pública, deverão estar sujeitos às vinculações jurídicas de Direito Público.
O regime jurídico aplicável aos acordos parassociais públicos constitui um regime híbrido de natureza administrativa, inserindo-se no Direito Administrativo Privado. Este regime híbrido surge da modificação do regime estatuído pelo Direito Privado, desencadeada pelas vinculações de Direito Público, em especial os Princípios de Direito Administrativo.
Por último é analisado o tema do contencioso relativo aos acordos parassociais públicos fazendo referência, não apenas aos tribunais do Estado, mas também aos tribunais arbitrais. Estes acordos tendo natureza administrativa integram o conceito de relação jurídica administrativa, sendo o seu contencioso atribuído aos tribunais administrativos.
The presented dissertation talks about shareholders agreements celebrated by business partners of public corporations which assume a legal type of a commercial society. These legal instruments, which are typical in Private Law, are used by the business partners of public corporations to regulate the exercise of rights referred to social participation. To define the legal regime, in order to apply to shareholders agreements of public corporations, calls upon the discussion about Private Law application through public entities. Public corporations as public entities are always submitted to a set of legal lines of Public Law, even when typical lines of Private Law are applied. These legal lines, specially the principle of prosecution of public interest give form to a legal regime of Private Law institutes employed by public entities. The shareholders agreements of public corporations are forms of Private Law celebrated between business partners. Taking into account the regulation of rights referred to a social participation possession of a public corporation, the shareholders agreements should be submitted to legal lines of Public Law. The legal regime employed by shareholders agreements encloses a hybrid regime of administrative nature which is integrated in Private Administrative Law. This hybrid regime arises from a regime laid down through Private Law triggered by Public Law lines, specially the principles of Administrative Law. Lastly, the theme about the contentious in public shareholders agreements is analyzed, referring not only State courts but also courts of arbitration. These agreements with administrative nature integrate the concept of administrative legal relation since their contentious belongs to administrative courts.
