No direito privado, a celebração de negócios jurídicos resulta em obrigações que vigoram, por vezes, após a conclusão do contrato. No âmbito mercantil, a alienação do estabelecimento comercial requer do trespassante a observância da obrigação de não concorrência. Consiste em uma vedação ao exercício de atividade idêntica à do trespassário, com o objetivo de viabilizar a atividade mercantil no estabelecimento adquirido. Este dever pós eficaz prescinde da estipulação de pacto pelos contratantes, sendo uma obrigação implícita que, apesar de amplo reconhecimento no direito nacional e estrangeiro, não possui assentamento no texto legal. Na presente pesquisa, será investigada a amplitude dessa obrigação, no aspecto objetivo, subjetivo, temporal e espacial, perpassando sua análise em outros ordenamentos jurídicos. Além disso, discute-se a possibilidade de admitir o dever de não concorrência a institutos similares ao trespasse.
In private law, the conclusion of legal transactions results in obligations that sometimes take effect after the conclusion of the contract. In the commercial sphere, the sale of the commercial establishment requires the transferee to comply with the non-compete obligation. It consists of a ban on the exercise of an activity identical to that of the trespasser, with the objective of enabling the commercial activity in the acquired establishment. This post-effective duty dispenses with the stipulation of a pact by the contracting parties, being an implicit obligation that, despite being widely recognized in national and foreign law, has no settlement in the legal text. In the present research, the scope of this obligation will be investigated, in the objective, subjective, temporal and spatial aspects, passing through its analysis in other legal systems. In addition, the possibility of admitting the duty of non-compete to institutes similar to trespass is discussed.
