O presente estudo procura analisar os regimes de Eliminação da Dupla Tributação Económica dos Lucros Distribuídos e das Mais-Valias realizadas com a transmissão de participações sociais detidas em sociedades residentes, no espaço UEMOA. Para o efeito de enquadramento conceptual, procura-se oferecer um panorama histórico da tributação das sociedades resultante da mundialização crescente da actividade económica, traduzida na globalização da economia e na criação de espaços regionais de integração económica. Igualmente, dão-se a conhecer as razões subjacentes à origem e ao conceito da Dupla Tributação Económica, em particular na União Económica e Monitoria da África Ocidental (UEMOA). Como subsídio académico, analisa o processo da integração económica conducente à efetivação de um verdadeiro mercado comum no âmbito da UEMOA. Em atenção, são expostos aos sobressaltos inerentes à tributação das sociedades no contexto de investimentos e transacções comunitárias. Ademais, o estudo trata de evidenciar os progressos alcançados ao nível da harmonização da tributação das sociedades no espaço UEMOA. Em sentido oposto, retrata-se a inoperância do Tribunal Comum na matéria de fiscalidade directa, bem como os entraves que continuam a condicionar significativamente o funcionamento do mercado comum considerado. Por outro lado, são analisados os regimes jurídicos tributários europeus, português e da UEMOA, em especial no que concerne às questões da eliminação da dupla tributação para a aplicação da Participation Exemption. Finalmente, afere-se o conjunto de regras aplicáveis a tributação no espaço UEMOA em matéria de prevenção e de luta contra a dupla tributação internacional (métodos de repartição para cada tipo de rendimento, do direito de tributação entre os membros e/ou contraentes; escolha de sistema ou técnicas de eliminação da dupla tributação internacional).
The present study seeks to examine the legal framework of double taxation of profit distribution and shifting between companies in the Western Africa Economic and Monitory Union (UEMOA). For conceptual approach, it provides a historical background of double taxation in the context of the rising economic globalization leading the establishment of regional economic integration zones. In addition, it describes briefly the origin and the concept of double taxation, particularly in UEMOA zone. As academic contribution, it offers a comprehensive insight over the ongoing efforts to institutionalize an effective common market in the UEMOA zone. By the way it brings up the challenges in relation to the enforcement of double taxation legislation on the scope of investment and regional transaction. Furthermore, it brings to the surface progress and achievement concerning the harmonization of double taxation within UEMOA zone. On the other hand, it highlights the ineffectiveness of the Regional Court in handling double taxation as well as the existing challenges with the potential to undermining the regional market. Moreover, the study outlines a comparative analysis between the European Union, Portuguese and UEMOA’s legislations governing double taxation with regards to the implementation of participation exemption. Eventually, it outlines a set of existing legal provisions towards preventing and fighting against double taxation (allocation methods for each source of income, taxing right between and among members and contractors, determination of system or tools to eradicate international double taxation).
