O presente estudo pretende contribuir para o entendimento do exercício da direção unitária do grupo pelos membros do órgão de administração da sociedade dominante e dos critérios para a avaliação da conduta que lhes é devida. Para tanto, apresenta uma análise crítica sobre a obrigação de administração e sobre a concretização da lealdade no contexto das sociedades em relação de grupo. Neste cenário e considerando a necessária articulação de todos os elementos em causa, inclui uma análise crítica sobre o exercício da direção unitária do grupo e sobre o alcance da discricionariedade normativamente conferida aos administradores da sociedade dominante com vista à apresentação e densificação dos critérios para a avaliação da respetiva conduta neste âmbito.
The present study intends to contribute for the understanding of the unitary and joint management of the group of related companies exercise by the members of the Board of Directors of the holding company and the criteria for the evaluation of the conduct due to them. For that, it presents a critical analysis for the obligation of administration and the concretization of loyalty in the context of companies in a group relationship. In this scenario, and considering the necessary articulation with all the components in case, includes a critical analysis regarding both the exercise of the unitary and joint management of the group of related companies and the normatively discretion reach given to the Board members of the holding, bearing in mind the presentation and densification of the criteria for the respective conduct evaluation in this framework.
