A desconsideração da personalidade jurídica é um instituto de extrema importância no Direito Comercial, através do qual se retira a autonomia patrimonial conferida às sociedades com limitação de responsabilidade, a fim de acessar o patrimônio pessoal dos membros do quadro societário para barrar abusos ou fraudes cometidas por meio da utilização da estrutura societária. A presente dissertação analisa a aplicação do instituto da desconsideração em dois ordenamentos jurídicos distintos: o português e o brasileiro. Em Portugal, o instituto é também conhecido como "levantamento da personalidade coletiva", sendo uma construção doutrinária e jurisprudencial. Já no Brasil, há previsão legislativa acerca da desconsideração da personalidade jurídica para os casos de fraude, abuso de direito, desvio de finalidade ou confusão patrimonial. Ambos ordenamentos jurídicos receberam o instituto para fins de equilibrar a proteção da autonomia patrimonial das sociedades com a necessidade de responsabilização dos sócios ou administradores em situações de abuso. Todavia, as especificidades e os requisitos para aplicação da desconsideração podem variar entre os sistemas jurídicos português e brasileiro.
The disregard of legal personality is an extremely important institute in Commercial Law, through which the autonomy of assets conferred on companies with limited liability is removed, in order to access the personal assets of the members of the company to prevent abuses or fraud committed through the use of the corporate structure. This dissertation analyzes the application of the disregard doctrine in two different legal systems: Portuguese and Brazilian. In Portugal, the institute is also known as "withdrawal of the collective personality" and is a doctrinal and jurisprudential construction. In Brazil, there is legislative provision for the disregard of legal personality in cases of fraud, abuse of rights, misuse of purpose or confusion of assets. Both legal systems have welcomed the institute in order to balance the protection of the autonomy of companies' assets with the need to hold partners or administrators accountable in situations of abuse. However, the specifics and requirements for applying the disregard doctrine may vary between the Portuguese and Brazilian legal systems.
