Os mercados económicos dependem de serem regulacdos para que consigam corrigir as lacunas existentes no mercado. Assim sendo, o objecto do presente trabalho abrange não só o contexto histórico com a manifestação das entidades reguladoras independentes a nível mundial, como igualmente no caso concreto de Portugal. Analisando as entidades administrativas independentes com funções de regulação e supervisão na actividade económica no nosso ordenamento jurídico, nomeadamente a CMVM e a ESMA. No presente trabalho, procedeu-se à contextualização histórica que originou o Estado Regulador, com as inerentes razões económico-sociais e alterações de paradigma. Foram analisadas as duas autoridades independentes, a CMVM e a ESMA bem como as suas funções reguladoras e a sua principal finalidade, colmatar as falhas de mercado, e por fim, foi analisada a futura União de Mercado de Capitais.
Economic markets depend on being regulated so that they can correct market gaps. Therefore, the purpose of this thesis is not only the historical context with the manifestation of independent regulatory worldwide, but also in the case of Portugal. Analyzing the independent administrative entities with regulatory and supervisory functions in economic activity in our legal system, namely the CMVM and ESMA. In the present work, we proceeded to the historical contextualization that originated the Regulatory State, with the inherent economic-social reasons and paradigm changes. The two independent authorities, the CMVM and ESMA, as well as their regulatory functions and their main purpose, were analyzed to close market failures, and finally the future capital market union was analyzed.
